Terms of Use

1. ABOUT THE SITE

This Site is operated on behalf of Nate Erskine-Smith’s campaign in connection with the campaign for leadership of the Ontario Liberal Party.

The Site is intended for use by residents of Ontario and others who are permitted to access the Site under applicable law. If you access the Site from outside Ontario, you do so on your own initiative and are responsible for complying with all applicable local laws.

2. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated Terms will be posted on the Site with a revised effective date. Your continued use of the Site after any changes are posted means you accept the updated Terms.

3. ELIGIBILITY

You may use the Site only if:

• you have reached the age of majority in your province or territory of residence and have the legal capacity to form a binding contract;
• your use of the Site complies with these Terms and all applicable laws; and
• any donation you make is lawful under applicable election, campaign finance, and other laws.

The Site is not intended for use by anyone who is prohibited from contributing or participating under applicable law.

4. DONATIONS

The Site may allow you to make donations in support of the campaign.

By making a donation, you represent and warrant that:

• you are making the donation voluntarily;
• the donation is made in your own name and from your own funds, unless otherwise permitted by law;
• you are legally permitted to make the donation;
• the donation does not violate any applicable law, regulation, or campaign finance rule; and
• the information you provide is true, accurate, and complete.

All donations are subject to verification, review, and applicable law. We may refuse, cancel, refund, or return a donation if we determine that it may violate applicable law or if we are unable to verify required information.

If payment processing is handled by a third-party payment processor, including Stripe, your donation may also be subject to that provider’s terms and privacy practices.

5. USER SUBMISSIONS

The Site may allow you to submit or upload content, including videos, testimonials, messages, form responses, images, or other materials (“Submission”).

By making a Submission, you represent and warrant that:

• you own the Submission or have all necessary rights to submit it;
• your Submission does not infringe the rights of any third party, including copyright, trademark, privacy, or publicity;
• your Submission does not contain unlawful, defamatory, abusive, harassing, misleading, fraudulent, obscene, or otherwise objectionable material;
• your Submission does not contain malware, malicious code, or hidden content;
• you have obtained all necessary permissions from any person identifiable in the Submission; and
• your Submission complies with all applicable laws.

You grant the campaign and its agents a worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable licence to use, reproduce, store, modify, adapt, publish, translate, distribute, publicly display, publicly perform, and otherwise use your Submission, in whole or in part, in any media now known or later developed, for campaign, informational, promotional, archival, and related purposes, without further notice or compensation to you, to the extent permitted by law.

We may review, moderate, edit, remove, or decline to post any Submission at any time, for any reason, in our sole discretion.

6. ACCEPTABLE USE

You agree not to use the Site to:

• violate any applicable law or regulation;
• impersonate any person or entity, or misrepresent your affiliation;
• harass, threaten, abuse, or defame any person;
• upload or transmit unlawful, harmful, or offensive content;
• interfere with the operation or security of the Site;
• attempt to gain unauthorized access to the Site, servers, or related systems;
• use any bot, scraper, crawler, or other automated means to access non-public portions of the Site or to interfere with the Site’s operation, security, or availability;
• upload viruses, malware, or any other harmful code;
• solicit or promote illegal activity; or
• otherwise use the Site in a manner that could harm the campaign, other users, or third parties.

7. CONTENT OWNERSHIP

Unless otherwise indicated, all content on the Site, including text, graphics, logos, photos, videos, designs, and compilation of materials, is owned by or licensed to the campaign and is protected by applicable intellectual property laws.

You may view, download, and print content from the Site for your personal, non-commercial use only, provided you do not remove any copyright or proprietary notices and do not modify the content.

No other use of Site content is permitted without our prior written consent.

8. THIRD-PARTY SERVICES AND LINKS

The Site may contain links to third-party websites, platforms, or services, or may use third-party services for hosting, analytics, donations, email, video hosting, or payment processing.

We do not control and are not responsible for third-party websites or services. Your use of third-party services is governed by their own terms and privacy policies.

9. PRIVACY

10. NO RELIANCE ON SITE CONTENT

11. DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CAMPAIGN, ITS OFFICERS, DIRECTORS, VOLUNTEERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you to the extent prohibited by law.

13. INDEMNITY

You agree to indemnify, defend, and hold harmless the campaign and its officers, directors, volunteers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the Site;
• your breach of these Terms;
• your Submission;
• your violation of any law or third-party right; or
• your donation or attempted donation, to the extent permitted by law.

14. TERMINATION

We may suspend or terminate your access to the Site, or remove any Submission, at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law.

Sections that by their nature should survive termination, including ownership, licences, disclaimers, limitation of liability, and indemnity, will survive.

15. ELECTRONIC COMMUNICATIONS

By using the Site or providing us with your contact information, you consent to receive communications from us electronically, including emails and other messages related to the campaign, your submissions, or your donations, subject to applicable law and any consent or unsubscribe requirements.

16. GOVERNING LAW

These Terms and any dispute arising out of or relating to the Site or these Terms will be governed by the laws of the Province of Ontario and where applicable, the federal laws of Canada, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any dispute arising out of or relating to these Terms or the Site, to the extent permitted by law.

17. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms posted on the Site, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements or understandings.
